At Law Offices of Grace J. Bergen, Ms. Bergen assists clients in their choice of entity decisions regarding forming new companies. She forms new private corporations, including filing articles of incorporation, preparing bylaws, shareholder buy-sell agreements, initial meeting minutes, and stock certificates.  She also advises corporations regarding the rights and duties of officers, directors, and shareholders, and assist corporations in preparing and maintaining their corporate minutes and records including annual shareholder and directors’ meeting minutes.

Ms. Bergen advises clients regarding the formation of new limited liability companies and general and limited liability partnerships, including preparing and filing articles of organization, operating agreements, and general and limited partnership agreements.  When necessary, Ms. Bergen assists clients with actions for corporate dissolutions and selected shareholder actions.  She assists clients in business acquisitions, and negotiates and prepares purchase and sale agreements (involving both stock and asset sales).
